Adventure Activity Participation Agreement

Effective upon Purchase

This Adventure Activity Participation Agreement ("Agreement") is entered into between AlMaknoon ("Company") and any individual or entity ("Participant") who purchases, registers for, or otherwise engages in any adventure activity offered by the Company, including via the Company’s online platform, electronic communication, or in-person transactions.

By purchasing or participating in any adventure activity, the Participant expressly acknowledges and agrees to all terms and conditions set forth herein, without the need for any further signature or action.

1. Activity Description

The Company organizes and facilitates various outdoor and adventure experiences, including but not limited to:

• Stand-Up Paddleboarding (SUP) Tours

• Sightseeing Tours

• Off-Road Adventures

• Camping Experiences

The specific services, locations, and experiences included in each activity are detailed in the respective product description at the time of purchase. The Company reserves the right to modify or adjust any advertised itinerary or service as necessary for safety, weather, logistical, or operational reasons.

2. Payment and Acceptance

Full payment is required at the time of booking. Accepted payment methods are displayed at checkout.

By submitting payment, the Participant confirms full acceptance of this Agreement and waives any right to claim non-acceptance based on lack of signature or separate documentation.

3. Assumption of Risk

The Participant fully understands and voluntarily accepts that all adventure activities inherently involve risks, including, but not limited to, personal injury, property damage, accidents, environmental hazards, unpredictable weather, and the actions of other participants.

The Participant voluntarily assumes all risks, whether known or unknown, and accepts full responsibility for any consequences arising from participation.

4. Waiver and Release of Liability

The Participant, on behalf of themselves, their heirs, personal representatives, and assigns, fully and forever waives, releases, discharges, and agrees to indemnify the Company, its owners, employees, contractors, and affiliates from any and all claims, demands, actions, or causes of action arising out of or related to participation in any Company activity, including claims arising from the negligence of the Company.

This release applies to all forms of liability, whether direct or indirect, foreseeable or unforeseeable.

5. Medical Fitness

By participating, the Participant certifies they are physically fit and sufficiently prepared to engage safely in the activities. The Participant acknowledges it is their sole responsibility to disclose any medical conditions that could affect participation.

The Company is not liable for any undisclosed medical conditions, injuries, or health complications that arise during or after participation.

6. Cancellation, Changes, and Refund Policy

Participant-Initiated Cancellations

Multi-Day Trips and Premium Experiences (Big Trips)

• Cancellations made more than 60 days before the trip start date
  A credit voucher for the full value of the booking may be issued at the sole discretion of the Company. This voucher will be valid for six (6) months from the date of cancellation. Cash refunds will not be provided.

• Cancellations made between 30 and 59 days before the trip start date
  A credit voucher for fifty percent (50%) of the booking value may be issued at the sole discretion of the Company. This voucher will be valid for six (6) months from the date of cancellation. Cash refunds will not be provided.

• Cancellations made less than 30 days before the trip start date
  The booking is strictly non-refundable, and no credit vouchers will be issued under any circumstances.

Weekly Physical Activities (e.g., SUP,Kashta, etc..)

• Cancellations made more than 48 hours before the scheduled start time
  A credit voucher for the full booking value may be issued at the sole discretion of the Company. This voucher will be valid for fourteen (14) days from the date of cancellation.

• Cancellations made within 48 hours of the scheduled start time
  A credit voucher for fifty percent (50%) of the booking value may be issued as a one-time courtesy per calendar month. Any additional cancellations within the same calendar month will be strictly non-refundable, and no further credit vouchers will be provided.

• No-shows and same-day cancellations are strictly non-refundable and not eligible for any credit or transfer.

Company-Initiated Changes or Cancellations

The Company reserves the right to cancel, modify, or reschedule activities due to safety concerns, insufficient participant numbers, weather conditions, or other operational reasons.

• For multi-day trips, in the event of a Company-initiated cancellation, participants will receive a credit voucher for the full value of the booking, valid for twelve (12) months from the date of issue. Cash refunds are not guaranteed unless required by Kuwaiti law.

• For weekly activities, in the event of a Company-initiated cancellation, participants will receive a credit voucher for the full booking value, valid for fourteen (14) days from the date of issue.

Early Departure

If a participant voluntarily withdraws from an activity after it has commenced, no refund, credit, or compensation will be provided under any circumstances.

Force Majeure

No refunds, credits, or liability will be provided for cancellations or disruptions caused by events outside the Company’s reasonable control, including but not limited to natural disasters, government actions, pandemics, travel restrictions, or acts of war.

7. AlMaknoon Membership Terms & Conditions

These membership terms apply to all Participants who purchase or hold any of the Company’s membership offerings, including Mostakshif, Rahhala, and Shaheen.

7.1 Membership Structure and Duration

Each membership tier offers defined benefits and is valid for a fixed period:

• Mostakshif: 2 months

• Rahhala: 3 months

• Shaheen: 6 months

Memberships activate upon purchase and cannot be paused or extended, except under special circumstances approved by the Company.

7.2 Perks and Usage

Each membership tier includes specified benefits (e.g., free activities, event discounts, merchandise, group access) as described at the time of purchase. Perks must be used within the membership period and do not roll over or renew automatically.

Free events must be pre-booked and are subject to availability. Missed bookings or no-shows will result in forfeiture of that benefit.

7.3 Discount Terms

• Mostakshif and Rahhala discounts apply to Kuwait-based activities only, including kashtas, SUP sessions, and local events.

• Shaheen members receive 15% off all trips, including international multi-day adventures.

Discounts cannot be combined with other promotions unless explicitly allowed.

7.4 Guest Passes and Recognition

• Shaheen members are entitled to 2 guest passes at 50% off for community events, redeemable during the active membership period.

• Shaheen members’ names will be displayed on the Company’s “Founder Wall” during their active membership period only.

7.5 Refunds and Transfers

All memberships are non-refundable and non-transferable once activated. However, memberships may be gifted prior to activation, subject to Company approval.

7.6 Member-Only Events

The Company may offer exclusive, curated experiences open only to active members. Tiered priority access will apply, with Shaheen receiving first access, followed by Rahhala.

7.7 Code of Conduct

Members must adhere to Company values of respect, inclusion, safety, and environmental responsibility. The Company reserves the right to suspend or terminate a membership without refund in the event of misconduct.

7.8 Membership Upgrade Policy

Participants may upgrade their membership tier (e.g., from Mostakshif to Rahhala or Shaheen) under the following conditions:

• Upgrade Window: Upgrades must be requested and processed within 10 days of the original membership activation date.

• Full Payment Required: The Participant must pay the full price difference between the current tier and the new tier. No pro-rated or discounted upgrade pricing is available.

• Benefit Adjustment: If the Participant has already redeemed benefits from the lower tier (such as a free kashta, community activity, or sticker pack), those specific items will not be re-issued under the upgraded tier.

• New Membership Duration: Upon upgrade, the new tier’s duration begins from the date of upgrade (e.g., Shaheen’s 6 months start from upgrade date, not original purchase date).

• No Refunds: Previously paid amounts are non-refundable and do not carry over if the Participant fails to use lower-tier benefits before upgrading.

These upgrade terms are designed to maintain fairness and prevent misuse while supporting flexible access for committed members.

8. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with:

• The laws of the State of Kuwait for activities conducted within Kuwait.

• International legal standards applicable to cross-border transactions and adventure activities.

Any dispute arising under or related to this Agreement shall be subject to the exclusive jurisdiction of the courts of Kuwait City, State of Kuwait, unless otherwise required by applicable international laws.

9. Entire Agreement

This document constitutes the full and complete understanding between the Company and the Participant regarding participation in adventure activities. No oral representations, warranties, or promises shall alter or supplement this Agreement.

The Company may update these Terms and Conditions at any time without prior notice. The version in effect at the time of purchase governs the transaction.

By purchasing, booking, or participating in any Company activity, the Participant certifies that they have read, understood, and agreed to this Agreement in its entirety.
